These Terms of Use (“Terms”) govern your access to and use of Listly, including our website, application, services, tools, and features. “Listly,” “we,” “us,” and “our” refer to [Legal Business Name].

1. Eligibility

4. eBay Account Connection

If you connect your eBay account to Listly, you authorize Listly to access, process, and use information from your eBay account as necessary to provide the features you request.

You are responsible for complying with eBay’s terms, policies, seller obligations, marketplace rules, and all applicable laws. Listly is not eBay and is not responsible for eBay’s services, actions, policies, outages, API changes, or decisions affecting your account, listings, orders, or business.

You may disconnect your eBay account from Listly, but doing so may limit or disable certain features.

5. Acceptable Use

You agree not to:

• Use Listly for unlawful, fraudulent, deceptive, harmful, or abusive purposes;
• Violate any applicable law, regulation, third-party right, marketplace policy, or platform rule;
• Access or use another person’s account without permission;
• Interfere with, disrupt, or damage Listly or its infrastructure;
• Reverse engineer, scrape, crawl, copy, or misuse Listly except as permitted by law;
• Upload malicious code, viruses, or harmful content;
• Use Listly to spam, harass, defraud, or mislead others;
• Attempt to bypass security, rate limits, authentication, or access controls;
• Use Listly in a way that could harm Listly, eBay, other users, or third parties.

6. User Content and Data

You may submit, upload, connect, transmit, or make available content or data through Listly, including listing information, product information, images, descriptions, pricing, inventory data, and marketplace information (“User Content”).

You retain ownership of your User Content. You grant Listly a limited, non-exclusive, worldwide, royalty-free license to host, process, display, transmit, modify, and use your User Content solely as necessary to provide, maintain, secure, and improve Listly.

You represent that you have all rights necessary to provide User Content to Listly and that your User Content does not violate any law, third-party right, or marketplace policy.

7. Fees and Payments

Some features may require payment. If paid features are offered, pricing, billing terms, renewal terms, cancellation rights, and refund rules will be disclosed at the time of purchase or subscription.

Unless otherwise stated, fees are non-refundable to the fullest extent permitted by law.

8. Third-Party Services

Listly may integrate with or link to third-party services, including eBay. Your use of third-party services is governed by their own terms and policies.

We do not control and are not responsible for third-party services, including their availability, security, accuracy, policies, or actions.

9. Intellectual Property

Listly and its software, design, logos, branding, text, graphics, features, and other materials are owned by Listly or its licensors and are protected by intellectual property laws.

These Terms do not grant you ownership of Listly or any Listly intellectual property. You may not copy, modify, distribute, sell, lease, or create derivative works based on Listly except as expressly permitted by us.

10. Feedback

If you provide feedback, suggestions, ideas, or recommendations, you grant us the right to use them without restriction or compensation to you.

11. Service Availability

We aim to provide a reliable service, but we do not guarantee that Listly will be uninterrupted, error-free, secure, or available at all times.

Listly may be affected by maintenance, outages, bugs, third-party service failures, API changes, internet disruptions, or events outside our control.

12. No Professional Advice

Listly may provide information, automation, analytics, or recommendations, but it does not provide legal, tax, accounting, financial, business, or professional advice. You are responsible for reviewing and verifying all actions, listings, prices, descriptions, and decisions before relying on them.

13. Disclaimers

To the fullest extent permitted by law, Listly is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

14. Limitation of Liability

To the fullest extent permitted by law, Listly and its owners, officers, employees, contractors, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or business interruption.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to Listly or these Terms will not exceed the greater of: (a) the amount you paid to Listly in the three months before the claim arose; or (b) $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless Listly and its owners, officers, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

• Your use of Listly;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law, marketplace policy, or third-party right;
• Your products, listings, sales, orders, customers, or marketplace activity.

16. Suspension and Termination

We may suspend or terminate your access to Listly at any time if we believe you violated these Terms, created risk for Listly or others, used the service unlawfully, or if we discontinue the service.

You may stop using Listly at any time. Certain provisions of these Terms will survive termination, including provisions related to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any obligations that by their nature should survive.
